The holding company provides the owners control of the assets, but they are personally protected, and various assets that are controlled by the holding company are protected from each other as well. e.g. in the case that the asset goes bankrupt. It also is generally used to hold a diverse set of child companies, even if the diversity is slight (i.e. Sears Holding = Sears + Kmart) and could potentially provide some economies of scale (also, Sears).
